Terms of Service

Welcome to Kudosly. These Terms of Service ("Terms") govern your use of the Kudosly recognition platform, website, and services (together, the "Service") operated by Kudosly ("we", "us"). By creating an account, starting a trial, or purchasing a plan, you agree to these Terms. If you use the Service on behalf of an organization, you accept these Terms for that organization.

1. The Service

Kudosly provides boards for peer recognition: kudos cards, a live wall, points, badges, leaderboards, a rewards catalog, embeds, and — on the Carnival plan — an API and SSO. Features available to you depend on the plan you purchase, as described on our pricing page. We may improve or adjust features over time, but we will not remove a feature core to your paid plan during a paid period.

2. Accounts and eligibility

You must be at least 18 years old and able to form a contract. You are responsible for the accuracy of your account information and for everything that happens under your admin seats. Keep your credentials confidential.

3. Trials, billing, and automatic renewal

Every plan begins with a 14-day free trial. You are charged $0.00 at checkout; unless you cancel before the trial ends, your selected plan's first monthly charge is made when the trial completes.

Auto-renewal: all Kudosly plans are monthly subscriptions that renew automatically each month at the then-current plan price until you cancel. You can cancel at any time in your admin panel — cancellation takes two clicks and stops the next renewal. Cancelling does not refund the current paid period (see our Refund Policy for the 14-day guarantee).

Promotional codes such as FIESTA10 apply as described at the time of the offer and are not redeemable for cash. Prices are in USD and exclusive of applicable taxes, which may be added where required by law.

4. Acceptable use and anti-harassment

Kudosly exists to celebrate teammates. You agree not to use the Service to send backhanded "compliments", sarcasm presented as praise, targeted mockery, or any harassing, discriminatory, threatening, or unlawful content. Every board includes moderation tools — reporting, admin review, content removal, and member controls — and organizations are responsible for using them. We may suspend accounts that repeatedly violate this section. The full rules are in our Acceptable Use & Anti-Harassment Policy, which is incorporated into these Terms.

5. Points are not cash

Points earned in Kudosly have no monetary value, are not cash or a cash equivalent, and cannot be exchanged for money, cash-value gift cards, or anything outside your organization's rewards catalog. Points may be redeemed only for catalog rewards configured by your organization's admins, and unused points expire when a membership or subscription ends.

6. Your data

Content created on your boards — kudos, comments, points history, and member lists — belongs to your organization. You grant us only the limited license needed to operate, display, and back up that content as part of the Service. You may export or delete it at any time. Our Privacy Policy explains how we handle personal data.

7. Intellectual property

The Service, card designs, and Kudosly branding are our property. Your organization's content remains yours. Custom cards you upload must be material you have the right to use.

8. Disclaimers and liability

The Service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the amounts you paid us in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited by law.

9. Changes and contact

We may update these Terms; material changes will be announced by email or in-product notice at least 14 days before they take effect. Continued use after that date constitutes acceptance. Questions? Reach us via the contact details on our website.
